These Terms & Conditions govern the use of services, facilities, bookings, website, and client portal provided by Havenport Capital Inc. (“Havenport”, “Company”, “we”, “our”, or “us”).
By accessing, reserving, booking, or using our services or facilities, the Client agrees to these Terms & Conditions.
- Nature of Services
Havenport Capital Inc. provides professional business infrastructure solutions, including:
- virtual office solutions;
- business address services;
- workspace access;
- conference room facilities;
- corporate suites;
- workstation access;
- communication infrastructure solutions.
Havenport Capital Inc. is not:
- a law firm;
- a financial institution;
- a CPA firm;
- or a regulated investment or financial advisory provider.
Administrative, compliance, company formation, mail handling, and related support services may be coordinated separately through independent partner providers, including Strait Up Services LLC.
- Professional Business Infrastructure
Havenport Capital provides access to professionally operated physical workspace facilities intended to support modern domestic and international business operations.
Availability, access, and operational functionality remain subject to:
- operational requirements;
- maintenance;
- availability;
- compliance reviews;
- and commercially reasonable operational limitations.
- Reservations & Booking Requests
Workspace, conference room, workstation, and suite reservations are subject to availability and operational approval.
A booking request does not constitute a confirmed reservation until explicitly approved by Havenport Capital Inc.
Havenport reserves the right to:
- refuse;
- cancel;
- reschedule;
- or limit bookings
where operational, security, maintenance, compliance, or scheduling concerns arise.
- Minimum Service Terms & Renewals
Certain services, including virtual office or business address solutions, may require minimum initial service periods.
Unless otherwise agreed in writing, services may automatically renew under the applicable service plan until properly cancelled.
- Cancellation Policy
Cancellation requests must be submitted:
- in writing,
- by email,
- or through the official client portal.
Verbal cancellation requests shall not constitute valid cancellation.
Cancellation notice periods and minimum service commitments may apply depending on the selected services.
- Lawful & Professional Use
Clients may only use Havenport services for lawful and legitimate business activities.
Clients may not use the facilities, address, communication services, or infrastructure for:
- unlawful conduct;
- deceptive activities;
- unauthorized regulated services;
- mail fraud;
- money laundering;
- sanctions violations;
- or activities prohibited by applicable law.
Clients remain solely responsible for:
- licensing obligations;
- tax obligations;
- regulatory compliance;
- banking compliance;
- and lawful business operations.
- Address Usage & Banking Disclaimer
Use of a business address, virtual office solution, workspace, or communication service does not guarantee:
- bank account approval;
- payment processor approval;
- governmental registration approval;
- or regulatory acceptance.
Financial institutions and governmental agencies may require additional verification, physical presence, operational proof, or supplemental documentation at their sole discretion.
- Mail Handling Services
Mail handling, forwarding, scanning, and related administrative coordination services are provided separately through independent operational partners, including Strait Up Services LLC, under separate procedures and policies.
Havenport Capital Inc. does not guarantee:
- delivery times;
- postal carrier performance;
- uninterrupted mail services;
- forwarding speed;
- or processing times for government correspondence.
Clients remain responsible for monitoring their mail and maintaining updated forwarding information.
- Third-Party Providers
Certain services may involve independent third-party providers, including:
- internet providers;
- VoIP providers;
- payment processors;
- administrative service providers;
- registered agents;
- or mailing providers.
Such third parties may operate under their own terms, privacy policies, and operational procedures.
- Client Portal & Account Security
Clients are responsible for maintaining the confidentiality of:
- login credentials;
- passwords;
- authorized users;
- and access to their client portal accounts.
Havenport Capital Inc. shall not be responsible for unauthorized access resulting from compromised client credentials.
- Limitation of Liability
Havenport Capital Inc. shall not be liable for:
- indirect damages;
- lost profits;
- business interruption;
- denied bank applications;
- denied payment processor applications;
- governmental decisions;
- mail delays;
- internet interruptions;
- or third-party provider failures.
Services are provided on a commercially reasonable basis without guarantee of uninterrupted availability.
Total liability shall not exceed the amount paid for the affected service.
- Refusal or Suspension of Services
Havenport reserves the right to suspend, terminate, or refuse services where:
- inaccurate information is provided;
- compliance concerns arise;
- prohibited activities are suspected;
- payment disputes occur;
- or operational misuse is identified.
- Governing Law
These Terms & Conditions shall be governed by the laws of the State of Florida, United States.
- Updates
These Terms may be updated periodically without prior notice.
